I want to upgrade in-portal version. Right now i am using in-portal 4.2.1 and incommerce 4.2.1 developing freelance site. it includes project posting , bidding, payment integration, membership maintenance etc, these are very important modules. but every day am getting issues. so i planned to upgrade my version.

Thank you for your question.
Answers to your questions are:
1. Buying latest In-Commerce. You need to login under your account, go to Licenses and Services and buy of of Support Renewals for your current License of In-Commerce. This will give the option to download latest version of In-Commerce module.
2. Upgrading customizations can be problematic if you are not comfortable with reviewing your custom code and applying it to the new version. Please refer to the following topic where Alex has explained the case:

Another note that in order to upgrade from 4.2.1 you should first upgrade to 4.3.1, then 4.3.9 and only then to 5.0.4 (latest). But please keep in mind that we already have In-Portal 5.1.0 out (recently released), however there are structural changes so it might be a bit hard to upgrade to straight away so we recommend targeting 5.0.4.
3. Upgrade process is straight forward:
a. create a backup copy of the files and data which you'll be using to upgrade (NEVER upgrade production site without trying to upgrade the test environment first)
b. download new archives, unzip, upload to the server.
c. run Upgrade script:
- in 4.3.1 and 4.3.9 (http://www.yourdomain.com/admin/install.php)
- in 5.0.x (moved to http://www.yourdomain.com/core/install.php)
